Spark Capital Access Program Terms and Conditions

By submitting this form, you acknowledge and agree to the following:

1. Accuracy of Information
You confirm that all information provided in this form is accurate, complete, and current to the best of your knowledge.

2. Confidentiality
Spark Centre will treat information submitted by you as confidential and will use it solely for the purpose of evaluating your suitability for the Spark Capital Access Program (SCAP) and related support services, subject to the disclosures permitted under Clause 6. Spark Centre will require any staff, advisors, mentors, selection committee members, and approved program partners who receive such information to be bound by confidentiality obligations no less protective than those set out herein. You agree to keep confidential any non-public information disclosed to you by Spark Centre. This clause does not apply to information that is or becomes publicly available other than through a breach of these Terms, or that is required to be disclosed by law.

3. Program Acceptance
Submission of this form does not guarantee acceptance into the SCAP program, participation in Demo Days, investor introductions, or access to fundraising opportunities.

4. Due Diligence
Spark Centre reserves the right to request additional information, documentation, financial records, pitch materials, or conduct interviews as part of the evaluation process.

5. Investor Introductions
Any introductions to investors, advisors, partners, or ecosystem stakeholders are made at Spark Centre’s discretion and do not constitute an endorsement, investment commitment, or guarantee of funding.

6. Use of Information
Information submitted may be reviewed by Spark Centre staL, advisors, mentors, selection committee members, and approved program partners for evaluation purposes.

7. Fees
Certain services, advisory support, investor readiness activities, or participation in specific program components may be subject to separate fees, which will be communicated in advance. No such fees will be payable unless agreed by you in writing in advance of the applicable services being provided.

8. Independent Decisions
All investment, business, legal, accounting, and strategic decisions remain the sole responsibility of the applicant and their company.

9. Marketing Consent
If accepted into the program, you consent to Spark Centre using your company name, logo, and publicly available information for program promotion unless otherwise requested in writing.

10. Disclaimer of Warranties
The Spark Capital Access Program (SCAP) and all related services, materials, mentorship, and introductions are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Spark Centre disclaims all representations, warranties, and conditions of any kind, whether express or implied, including as to merchantability, fitness for a particular purpose, and the results of any evaluation, introduction, advice, or program participation.

11. Limitation of Liability
To the fullest extent permitted by law, Spark Centre and its directors, officers, employees, advisors, mentors, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, funding, data, or business opportunity, arising out of or in connection with the program, any introduction, or these Terms, whether based in contract, tort, or otherwise. Spark Centre’s total aggregate liability arising out of or in connection with the program and these Terms will not exceed the total amount of fees (if any) actually paid by you to Spark Centre.

12. Privacy and Personal Information
Spark Centre will collect, use, and disclose personal information provided in this form in accordance with applicable privacy legislation and its privacy policy, solely for the purposes described in these Terms. By submitting this form, you consent to such collection, use, and disclosure, including the sharing of information with the parties identified in Clause 6, some of whom may store or process information outside your province or country. You may withdraw your application and request deletion of your personal information at any time by written notice, subject to information Spark Centre is required to retain by law.

13. Intellectual Property
You retain all right, title, and interest in and to the materials you submit, including pitch materials, financial records, and other proprietary information. By submitting such materials, you grant Spark Centre a limited, non-exclusive, royalty-free licence to use, reproduce, and share them solely as necessary to evaluate your application and administer the program in accordance with these terms.

14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. You and Spark Centre irrevocably attorn to the exclusive jurisdiction of the courts of the Province of Ontario in respect of any dispute arising out of or in connection with these Terms.

15. Withdrawal and Termination
You may withdraw your application at any time by written notice to Spark Centre. Spark Centre may, in its discretion and without liability, decline any application or discontinue your participation in the program, including where information provided is found to be inaccurate, incomplete, or misleading in any material respect.

16. Entire Agreement
These Terms constitute the entire agreement between you and Spark Centre in respect of the application and your participation in the Program, and supersede all prior communications, representations, and understandings, whether oral or written. Any separate written agreement governing specific services or fees will prevail over these Terms to the extent of any conflict.

17. Amendments
Spark Centre may amend these Terms from time to time. Any material amendment affecting your existing application or participation will be communicated to you, and your continued participation following notice constitutes acceptance of the amended Terms.

18. Waiver
No failure or delay by Spark Centre in exercising any right under these Terms operates as a waiver of that right, and no single or partial exercise of any right precludes any further exercise of it.

19. Notices
Notices under these Terms must be in writing and sent to Spark Centre at the address or email set out above, and to you at the contact details provided in this form. Notices are deemed received on the next business day after sending by email.

20. Acknowledgement
By submitting this form, you acknowledge that you have read and understood these Terms & Conditions and agree to comply with them.
